By accessing the data and information published on this web application, and all Matter related products and services, you acknowledge that you understand and agree to these Matter Data Usage Terms and Conditions.

In particular, please read the paragraphs below which detail certain Intellectual Property Rights (4.) and Sustainability Data (5.).

1. Introduction

These Data Usage Terms & Conditions ("Agreement") govern the use of data provided by Matter DK ApS ("Company") to users ("Users") for the purpose of promoting sustainability data in the context of the Company's products and services. This Agreement applies to Users worldwide.

2. Scope of Data Usage

Purpose: The data provided by the Company is intended for Users to leverage in their sustainability initiatives, analytics, and reporting within the Company's products and services.

Data Types: The Company provides various types of sustainability data, including but not limited to observations on the ESG and sustainability profile of companies’ products, services, conduct and governance.


Limitations: The use of the data is restricted to the specific purposes outlined above. Users are prohibited from using the data for any illegal, unethical, or harmful activities, including but not limited to misrepresentation, defamation, or infringement of intellectual property rights.

3. User Obligations

Authorised Use: Users agree to use the data solely for the authorised purposes specified in this Agreement and in compliance with applicable laws and regulations in their respective jurisdictions.

Data Confidentiality: Users acknowledge and agree to maintain the confidentiality and security of the data provided by the Company. Users shall implement appropriate safeguards to prevent unauthorised access, disclosure, or alteration of the data.

5. Sustainability Information

Sustainability Information: The information Matter is providing to the User as part of their services on specific legal entities sustainability (the “Sustainability Information”) is based on third party information and analysis provided to or obtained by the Company from either publicly available sources on sovereign and corporate topics or from Third party data providers. The Company considers the information to be reliable but does not guarantee its accuracy or completeness.


Nature of the Sustainability Information: The Sustainability Information does not constitute or form part of any offer or invitation to sell or issue, or any solicitation of any offer to purchase or subscribe for, any securities or other financial instruments in the legal entities to which Sustainability Information is provided on, nor shall it or any part of it be relied on in connection with, any contract commitment or investment decision in relation thereto.
Wording in the Sustainability Information, including titles of the various metrics and flags used, are only intended for the purpose of providing an impression of the legal entities' compliance or alignment with ESG factors chosen by the Company and do not serve as a proof or detailed description of any of the issues described.
The Sustainability Information shall not be seen as an analysis of the legal entities general performance economically/financially or in relation to the sector of industry, in which the legal entities are operating.
Nothing in the Sustainability Information constitutes or should be considered as constituting a promise or a guarantee concerning any future developments, events, figures, etc.
The Company assumes no obligation to provide additional information or to update Sustainability Information or correct inaccuracies in Sustainability Information, unless explicitly agreed.


Reliance: The Sustainability Information is provided solely to the User. The provision of the Sustainability Information to you does not impose any obligation on the Company to allow any other than you to rely on Sustainability Information, unless explicitly agreed.

6. Data Privacy and Security

Confidentiality: The Company is committed to protecting the confidentiality and privacy of the data provided. The Company implements industry-standard security measures to safeguard the data against unauthorised access, disclosure, or loss.


International Data Transfers: Users acknowledge and agree that the data may be transferred to and stored in countries outside their own jurisdiction. The Company will take reasonable steps to ensure that such transfers comply with applicable data protection laws and regulations.

7. Limitation of Liability

Limitation of liability: No representation or warranty, express or implied, is given by the Company or any affiliates or directors, officers or any other person as to the fairness, accuracy or completeness of the Sustainability Information and no liability whatsoever for any loss howsoever arising from any use of the Sustainability Information is accepted by the Company or any affiliates or directors, officers or any other person.

Disclaimer: The Company disclaims any liability for any loss, damage, or inaccuracies resulting from the use of the data. Users acknowledge that the data is provided on an "as is" basis and that their use of the data is at their own risk.

Indirect Damages: In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the data.

8. Termination

Termination: The Company reserves the right to terminate this Agreement and suspend Users' access to the data in the event of any breach of this Agreement or unauthorised use of the data.


Consequences of Termination:
Upon termination, Users shall immediately cease using the data and return or destroy any copies of the data in their possession.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Denmark, and any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Denmark.

10. Product Improvement Data

The Company exclusively collects product-usage data from users for the sole purpose of product improvement. This data serves as a valuable tool in refining and optimizing our products and services to better cater to the evolving needs of our users.

Types of Data: The data collected for product improvement encompasses a range of insights, including user interactions, preferences, and feedback within the Company's products and services.

Usage Limitations: Data collected for product improvement is strictly utilised to enhance user experience and refine our offerings. The Company explicitly prohibits the use of this data for any unauthorised or harmful activities.

Exclusion of Sensitive Data: The Company excludes sensitive information from our analytics. This includes all user-uploaded data and user-generated content.

By utilising our products and services, Users implicitly consent to the use of their data for continuous improvement efforts.

11. Trial Users

Data Usage during Trial Period: During the trial period of accessing the Company's products and services, trial users ("Trial Users") are granted limited access to the data for evaluation purposes only. Trial Users agree to comply with all the terms and conditions outlined in this Agreement during the trial period.


Restricted Use:
Trial Users acknowledge and agree that the use of the data during the trial period is subject to the same restrictions and limitations as specified in Sections 2 (Scope of Data Usage) and 3 (User Obligations) of this Agreement.


No Commercial Use:
Trial Users are strictly prohibited from using the data for any commercial purposes during the trial period. The data provided is solely intended for evaluation and testing of the Company's products and services.


Confidentiality:
Trial Users acknowledge and agree to maintain the confidentiality and security of the data during the trial period. Trial Users shall not disclose or share the data with any third parties without the prior written consent of the Company.


Termination:
The Company reserves the right to terminate the trial period and suspend Trial Users' access to the data in the event of any breach of this Agreement or unauthorised use of the data.


Consequences of Termination:
Upon termination of the trial period, Trial Users shall immediately cease using the data and return or destroy any copies of the data in their possession, in accordance with Section 7.2 (Consequences of Termination).

Notwithstanding any other provision of these Matter Data Usage Terms and Conditions, none of the data or information on the Company’s products and services  may be reproduced or made available by you to any other person except that you may reproduce an insubstantial amount of the data or information on the Company’s products and services for the uses permitted above.

The data and information on the Company’s products and services may not be used in any way other than as permitted above.
